健盛集团发布公告称，2024年7月18日公司全资子公司 JASAN GLOBAL PTE.LTD.与锦兴布业有限公司签订了《出售资本转让合同》，以10,276,000美元（约合人民币7429万）购买由锦兴布业持有的目标公司的100%股权。目标公司拥有越南南定省务本县宝明工业园区CN1号地块共104,742平方米的土地使用权，该地块的使用期限至2060年12月14日。
健盛集团于2024年3月15日召开了第六届董事会第八次会议审议通过了《关于投资建设越南南定省新建项目的议案》。为满足未来客户订单的需求，充分利用越南工厂在国际贸易环境、客户进口关税及环保印染等各方面的优势，增强公司产品在国际市场上的竞争力，公司越南南定省投资建设年产6,500万双中高档棉袜、2,000吨氨纶橡筋线、18,000吨纱线染色生产项目，项目投资总额 5.5亿元，其中固定资产投资约为 5.05亿元，流动资金4500 万元。
健盛集团表示，根据公司国际化布局战略规划和经营发展需要，综合考虑项目的实施环境和后续建设需求，公司将公司全资子公司JASAN GLOBAL PTE. LTD.作为投资主体， 以货币方式出资，出资占比100%。项目地点确认为越南南定省务本县宝明工业园区CN1 号地块。
目前JASAN GLOBAL PTE. LTD.已取得由越南南定省计划投资部发出的符合投资要求通知书并确认JASAN GLOBAL PTE. LTD.为目标公司的唯一投资方。公司作为JASAN GLOBAL PTE. LTD.的担保人为 JASAN GLOBAL PTE. LTD.在该协议项下的责任和义务提供担保。
健盛集团认为，本次投资主体的变更及项目地点的确认系公司国际化布局战略规划和经营发展需要。该项目的启动有利于加强越南各生产基地的资源优化整合，有利于提升原辅料供应产能及效率，提高公司产业链一体化能力，提升公司生产产能，进一步增强公司的整体盈利能力，提高市场竞争能力和抗风险能力。

JIANSHENG GROUP ANNOUNCED THAT ON JULY 18, 2024, THE COMPANY'S WHOLLY-OWNED SUBSIDIARY, JASAN GLOBAL PTE. LTD. entered into a "Sale of Capital Transfer Contract" with Jinxing Cloth Industry Co., Ltd. to purchase 100% equity of the target company held by Jinxing Cloth Industry for US$10,276,000 (about RMB 74.29 million). The target company has a land use right of 104,742 square meters in CN1 Parcel No. 1, Bao Minh Industrial Park, Ng Dinh District, Nam Dinh Province, Viet Nam, which is valid until December 14, 2060.
On March 15, 2024, the eighth meeting of the sixth board of directors of Jiansheng Group deliberated and passed the "Proposal on Investing in the Construction of New Projects in Nam Dinh Province, Viet Nam". In order to meet the needs of future customer orders, make full use of the advantages of Viet Nam factory in international trade environment, customer import tariffs and environmental protection printing and dyeing, and enhance the competitiveness of the company's products in the international market, the company invested in the construction of an annual output of 65 million pairs of high-end cotton socks, 2,000 tons of spandex elastic yarn and 18,000 tons of yarn dyeing production project in Nam Dinh Province, Viet Nam, with a total investment of 5500 million yuan, of which the investment in fixed assets is about 50.5 billion yuan, working capital 45 million yuan.
Jiansheng Group said that according to the company's international layout strategic planning and business development needs, comprehensive consideration of the implementation environment of the project and follow-up construction needs, the company will be the company's wholly-owned subsidiary JASAN GLOBAL PTE. LTD., as the main investor, invests 100% of the capital in monetary terms. The project site was confirmed as Lot CN1, Baomin Industrial Park, Dinh District, Nam Dinh Province, Viet Nam.
CURRENTLY JASAN GLOBAL PTE. LTD. has obtained a Notice of Compliance with Investment Requirements issued by the Ministry of Planning and Investment of Nam Dinh Province of Viet Nam and confirmed that JASAN GLOBAL PTE. LTD. is the sole investor of the target company. The company is a member of JASAN GLOBAL PTE. The guarantor of LTD. is JASAN GLOBAL PTE. LTD.'s responsibilities and obligations under this Agreement.
