欣旺达20亿借道香港进越南,建海外第3个工厂

欣旺达公告称,2024年7月15日分别召开第六届董事会第十次会议、第六届监事会第十次会议,审议通过了《关于拟设立子公司越南锂威并投资建厂的议案》,同意公司通过其下属子公司香港欣威电子有限公司(HONGKONGXINWEIELECTRONICCO.,LTD.)(以下简称“香港欣威”)设立越南锂威有限公司(以下简称“越南锂威”),并以自有资金投资建设越南锂威消费类锂电池工厂项目,投资总额不超过人民币20亿元,最终投资金额以项目实际投资为准。



这是欣旺达在海外建设的第3家电池工厂,前两家工厂建在了匈牙利、摩洛哥,均为动力电池工厂。越南锂威则为消费类锂电池工厂项目,产业园基地主要进行消费类电芯、SiP和电池的生产,此次的项目资金主要用于土地购置、建设工程、设备采购等。


欣旺达表示,越南作为新兴市场经济体,近年来承接了较多的消费电子产能转移,相关产业链配套也不断得到完善,可以较好的满足公司建设海外生产基地的需要。公司本次在越南投资建设生产基地,有利于完善公司海外战略布局,建立海外产品供应能力,提升全球范围内的销售能力,更加灵活地应对宏观经济环境波动、产业政策调整以及国际贸易格局影响,提升公司竞争力及整体抗风险能力,更好地为海外客户提供服务,满足海外客户的订单需求,符合公司整体的战略规划。


据了解,为了配合客户越南产能出货,欣旺达在去年4月份在越南河内市云中县安福乡北江产业新城设立了全资孙公司欣旺达越南有限公司,当时的注册资本为400万美元,主要是做后段电池PACK组装,包括生产加工组装用于手机、笔记本电脑及其他电气电子设备的锂电池。


此次欣旺达除了借道香港重金投资越南外,欣旺达还通过控股子公司深圳市欣旺达再生材料有限公司(以下简称“再生材料”)与山东信华民间资本管理有限公司于近日共同成立合资公司滕州欣旺达再生资源有限公司,其中再生材料持有其80%的股份,该合资公司主要从事电池回收项目的运营。


另外还通过全资子公司深圳市前海弘盛创业投资服务有限公司(以下简称“前海弘盛”)拟以自有资金及自筹资金人民币5.3464亿元收购控股子公司惠州盈旺精密少数股东持有的30.1266%股权。


欣旺达发布的今年上半年业绩预告内容显示,预计上半年实现归属于上市公司股东的净利润约7.67亿元–8.99亿元,同比增长75%-105%。欣旺达表示,今年上半年公司经营计划有序开展,随着市场营销力度的加大,公司上半年主营业务收入稳步增长,盈利能力提高导致业绩相应增长。


今年上半年全球消费电子行业表现较好,特别是智能手机行业出货开始回升,数据显示二季度全球手机出货2.9亿部,同比增长6.5%,其中欣旺达的客户苹果出货超4500万台,同比增长1.5%;锂威的客户小米、vivo分别出货接近4230、2590万台,同比增长接近27.5%/22%,同时下游其它客户也在持续拓展中。


苹果在WWDC2024上正式发布AppleIntelligence,定位为一款适用于iPhone、iPad和Mac的个人智能系统,它将生成模型的强大功能与个人背景相结合,提供非常有用且相关的智能。在AI新功能的注入下,行业对苹果后市的产品表现预期充满了更多的期等,资本市场也主动推高了苹果的股价,从6月10日发布会苹果发布会以来,苹果股价已累订上涨约19%。


而在投资越南方面,受西方市场推动供应链多元化影响,以及越南与各经济体间的自贸政策的吸引,据越南统计总局6月29日公布的数据,2024年上半年,越南吸引外资达近152亿美元,与2023年同期相比增长13.1%。上半年84个国家和地区对越南投资,新加坡以投资资金近55.8亿美元,占外资总额的近36.7%,同比增长86%,位居第一。日本位居第二,投资资金超17.3亿美元,占外资总额的11.4%,同比下降21.6%。其次为中国香港、韩国和中国等。从投资项目来看,中国新投资项目位居第一,占越南上半年外资项目总量的29.1%。


据旭日大数据李星了解,实际上越南上半年收紧了中资企业在越南的投资,但如果从资本金额上来看,接近一半的资本都是中国大陆资本,这些资本有很多都是借道香港和新加坡企业,进入到越南来对新项目进行投资。

 (hereinafter referred to as "Viet Nam Liwei"), and invested in the construction of Viet Nam Liwei consumer lithium battery factory project with its own funds, with a total investment of no more than RMB 2 billion, and the final investment amount is subject to the actual investment of the project.



This is Sunwoda's third battery plant built overseas, the first two factories were built in Hungary and Morocco, both power battery plants. Viet Nam Liwei is a consumer lithium battery factory project, the industrial park base is mainly engaged in the production of consumer cells, SiP and batteries, and the project funds are mainly used for land purchase, construction projects, equipment procurement, etc.


Sunwoda said that Viet Nam, as an emerging market economy, has undertaken more consumer electronics capacity transfer in recent years, and the relevant industrial chain supporting facilities have been continuously improved, which can better meet the needs of the company to build overseas production bases. The company's investment in the construction of a production base in Viet Nam this time is conducive to improving the company's overseas strategic layout, establishing overseas product supply capabilities, improving global sales capabilities, more flexibly responding to macroeconomic environment fluctuations, industrial policy adjustments and the impact of international trade patterns, enhancing the company's competitiveness and overall anti-risk ability, better serving overseas customers, meeting the order needs of overseas customers, and conforming to the company's overall strategic planning.


It is understood that in order to cooperate with the customer's Viet Nam production capacity shipment, Sunwoda set up a wholly-owned grandson company Sunwoda Viet Nam Co., Ltd. in Bac Giang Industrial New Town, Anphu Township, Yunzhong County, Hanoi City, Viet Nam in April last year, with a registered capital of 4 million US dollars at that time, mainly for back-end battery PACK assembly, including production, processing and assembly of lithium batteries for mobile phones, laptops and other electrical and electronic equipment.


In addition to investing heavily in Viet Nam through Hong Kong, Sunwoda also recently established a joint venture company, Tengzhou Sunwoda Renewable Resources Co., Ltd., through its holding subsidiary Shenzhen Sunwoda Renewable Materials Co., Ltd. (hereinafter referred to as "Recycled Materials") and Shandong Xinhua Private Capital Management Co., Ltd., in which Recycled Materials holds 80% of its shares, which is mainly engaged in the operation of battery recycling projects.


In addition, through its wholly-owned subsidiary, Shenzhen Qianhai Hongsheng Venture Capital Services Co., Ltd. (hereinafter referred to as "Qianhai Hongsheng"), it intends to acquire 30.1266% of the equity held by minority shareholders of Huizhou Yingwang Precision, a holding subsidiary, with its own funds and self-raised funds of RMB 534.64 million.


According to the performance forecast for the first half of this year, Sunwoda is expected to achieve a net profit attributable to shareholders of listed companies of about 767 million yuan to 899 million yuan in the first half of the year, a year-on-year increase of 75%-105%. Sunwoda said that in the first half of this year, the company's business plan was carried out in an orderly manner, and with the increase of marketing efforts, the company's main business income in the first half of the year grew steadily, and the improvement of profitability led to corresponding growth in performance.


In the first half of this year, the global consumer electronics industry performed better, especially the smartphone industry shipments began to pick up, data show that in the second quarter, global mobile phone shipments were 290 million, a year-on-year increase of 6.5%, of which Sunwoda's customer Apple shipped more than 45million units, a year-on-year increase of 1.5%; Liwei's customers Xiaomi and Vivo shipped nearly 4,230 and 25.9 million units respectively, an increase of nearly 27.5%/22% year-on-year, while other downstream customers are also continuing to expand.

With the injection of new AI features, the industry is full of expectations for Apple's product performance in the future, and the capital market has also taken the initiative to push up Apple's stock price, which has risen by about 19% since Apple's press conference on June 10.

In terms of investment in Viet Nam, it is affected by the diversification of supply chains driven by Western markets and the free trade policies between Viet Nam and other economiesAccording to data released by the General Statistics Office of Viet Nam on June 29, in the first half of 2024, Viet Nam attracted nearly US$15.2 billion in foreign investment, an increase of 13.1% compared to the same period in 2023. In the first half of the year, 84 countries and regions invested in Viet Nam, and Singapore ranked first with nearly US$5.58 billion in investment funds, accounting for nearly 36.7% of the total foreign investment, a year-on-year increase of 86%.


 Japan ranked second, with investment funds exceeding US$1.73 billion, accounting for 11.4% of total foreign investment, down 21.6% year-on-year. This is followed by Hong Kong, Korea and China. In terms of investment projects, China's new investment projects ranked first, accounting for 29.1% of Viet Nam's total foreign-funded projects in the first half of the year.


According to Li Xing, Glorious Sun Big Data, in fact, Viet Nam tightened the investment of Chinese-funded enterprises in Viet Nam in the first half of the year, but if you look at the amount of capital, nearly half of the capital is Chinese mainland capital, and many of these capital are borrowed through Hong Kong and Singapore enterprises to enter Viet Nam to invest in new projects.
